1. General provisions
The following Terms and Conditions, together with any documents they expressly incorporate by reference (collectively referred to as “Terms”), govern the purchase of software licenses, related and unrelated services, goods, and any other products offered through MRTech online shop (“Website”) operated by:

The Terms and Conditions comply with Act No. 513/1991 Coll. (Commercial Code) and apply exclusively to transactions between MRTech and business customers — legal entities and self-employed individuals acting in the course of their trade, business, or profession (“Customer” or “Buyer”). Consequently, as the Website is intended for business customers, these terms and Conditions do not apply to consumers within the meaning of Slovak consumer protection laws such as Act No. 108/2024 Coll., Act No. 310/2025 Coll. and subsequent legislation. If such a consumer pays for goods on the Website, the seller will immediately refund the paid amount.

By placing an order, the Customer confirms that it has read, understood, and accepted these Terms in full. These Terms form an integral part of every purchase contract concluded through the Website.
2. Products and Services
MRTech offers its products in the following four categories on the Website:
2.1. IFF SDK Licenses.
In this category, you will find software licenses for MRTech IFF SDK that is a high-performance machine vision image processing library.
Three standard licensing options are available on the Website:
Time-based Engineering license has fixed prices for the first year of use or for license renewal.
The cost of two perpetual IFF SDK licenses (Deployment and Enterprise) is not specified, as this may depend on the configuration of your machine vision system, the number of installations, and other factors. You should provide further details about your company and the intended use of the product and request a quote to find out the price.
To help you choose the option that suits you best, we have provided a comparison of all IFF SDK licensing options.
2.2. MIPI drivers.
This product category features V4L2 drivers for various CMOS sensor modules with MIPI CSI-2 interface. All the drivers listed on the Website have the fixed price.
2.3. Service category.
This category includes two types of service: a general Non-Recurring Engineering (NRE) service and a service for the MIPI driver development.
In both cases, the website specifies a minimum initial development cost (Minimum price), whilst the final cost of the work is to be determined by agreement between the parties.
//2.4. Engineering Kits.
There are several types of Machine vision Engineering kits available here. Each kit is based on NVIDIA Jetson modules, equipped with one or more machine vision cameras, and flashed with IFF SDK package. All the listed kits have the fixed price.
The contract conclusion and its completion workflow, payment and delivery terms for products from various categories, as well as the software license terms are set out in the following sections.
3. Conclusion and completion of the Contract
Product and service listings, pricing information on the Website, as well as MRTech quotations, and other marketing materials are invitations to submit an offer and do not constitute a binding offer by MRTech.
Depending on the status of the product price on the Website (whether or not its Final price is specified on the product page), there are two possible workflows for the contract:
3.1. Steps for concluding and executing the contract when the Final price is specified on the Website product page:
- The Customer places a binding order by adding the product to the cart on the Website, checking out and paying for the order.
- Reviewing an order at MRTech to accept or reject it.
- If accepted, MRTech sends the Customer a binding offer in the form of a written order confirmation, thereby entering into the contract.
If MRTech rejects the order and the contract, MRTech will refund the customer within several working days. - In executing the contract, MRTech delivers the ordered products to the Customer.
- MRTech sends the Customer its final (closing) invoice.
3.2. Concluding and executing the contract if there is no price on the product page, or if the Minimum price is shown there:
- The Customer requests a quotation via the Website form or by email.
- If MRTech agrees, it sends the quotation to the Customer.
- Based on the quotation and agreements the Customer submits a binding order via the Website form or by email.
- To conclude the contract MRTech sends a binding order confirmation and proforma invoice to the Customer. The proforma invoice is required if a partial prepayment is agreed.
- In executing the contract, MRTech delivers the ordered products to the Customer.
- MRTech sends the Customer its final invoice.
- The Customer pays the invoice and the contract is closed.
3.3. At one of the steps, the Customer will be required to provide valid business identification details (Company Name and address, company ID or VAT ID, and contact details of the responsible employee).
3.4. MRTech reserves the right to decline any order without stating a reason, in particular where the product is unavailable, the Customer information is incomplete or inaccurate, MRTech SK has reasonable grounds to suspect misuse, or in other circumstances.
4. Prices and payment
4.1. Prices
All prices published on the Website are indicative and exclusive of VAT (unless expressly stated otherwise). The final binding price is confirmed in the written order confirmation or proforma invoice issued by MRTech.
MRTech reserves the right to adjust prices at any time. Price changes do not affect orders confirmed in writing prior to the change.
4.2. Payment Terms
Payment is due within 14 calendar days of the invoice date unless a different payment term is agreed in writing. MRTech may require full or partial advance payment before delivering the product or commencing services.
Accepted payment methods are specified in the order confirmation. Late payments accrue statutory default interest at the rate set by Slovak law (Act No. 513/1991 Coll., Commercial Code).
4.3. Currency
All prices are denominated in Euro (EUR). Payments in other currencies may be subject to bank conversion fees at the Customer expense.
4.4 VAT
MRTech is a VAT-registered entity in the Slovak Republic. For intra-EU B2B transactions, the reverse-charge mechanism applies where the Customer provides a valid VAT registration number. For transactions with Customers outside the EU, applicable VAT rules of the destination country may apply.
5. Delivery of products
5.1. MRTech delivers the ordered products to the Customer at its own (MRTech) expense.
5.2. Software is delivered electronically via MRTech server, without any physical media.
5.3. Hardware is delivered by express courier under EXW or DAP Incoterms 2020 modes.
6. License terms and intellectual property
6.1. The use of IFF SDK is governed by the MRTech Standard icense Agreement (SLA) and its Appendices, all of which the Customer accepts upon placing an order for IFF SDK.
All intellectual property rights in and to IFF SDK, including but not limited to source code, object code, algorithms, documentation, trademarks, and know-how, remain the exclusive property of MRTech SK (or its licensors). The Customer is granted only the limited, non-exclusive, non-transferable right to use IFF SDK in accordance with the applicable licensing.
6.2. Software in the ‘MIPI drivers’ product category is licensed under the GNU GPL2 license.
6.3. Licensing of other software, for example from the ‘Service’ category, is subject to an agreement between MRTech and the Customer.
6.4. MRTech software products are licensed, not sold.
6.5. Any feedback, suggestions, or improvement requests submitted by the Customer may be used by MRTech without restriction or compensation.
7. Withdrawal and Cancellation
7.1. As these Terms comply exclusively to B2B transactions, the statutory right of withdraw available to consumer deals does not apply. A confirmed order may be cancelled by the Customer only with the prior written consent of MRTech SK. When cancellation is agreed, MRTech SK reserves the right to charge a cancellation fee amounting to 15% of the contract sum.
7.2. For software products, at the request of the Customer, MRTech offers a trial period of 2 to 3 months.
8. Warranty, guarantee and limitation of liability
8.1. Limited warranty on software
MRTech warrants that IFF SDK and other MRTech software products will substantially conform to the specifications set out in the technical documentation. MRTech does not warrant that IFF SDK and other MRTech software products will be error-free or operate without interruption.
Any defects reported in writing within 30 days of delivery will be remedied by MRTech through the provision of a corrected version or a reasonable workaround. This term for rectifying software errors and defects is extended to the standard support period specified in the software license agreement.
8.2 Software disclaimer
EXCEPT AS EXPRESSLY SET OUT ABOVE, IFF SDK AND ALL SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
8.3. Warranty on hardware
The hardware warranty period is three months. The guarantee terms are governed by the applicable legal provisions.
8.4. Limitation of Liability
To the maximum extent permitted by applicable law, MRTech total aggregate liability to the Customer for any claims arising under or in connection with these Terms or the SLA shall not exceed the total fees actually paid by the Customer to MRTech in the 12 months preceding the claim.
MRTech SK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, loss of business, or reputational damage, even if advised of the possibility of such damages.
9. Data protection and privacy policy
MRTech processes and stores contract-related personal data (e.g., contact persons of the Customer). The Customer consents to this fact. The conditions of the Privacy Policy (GDPR) shall apply.
10. Non-military use and export notice
10.1. By placing an order for MRTech products or services, the Customer confirms that all delivered products will not be used by the Customer, incorporated into products manufactured or processed by the Customer, or supplied to any third party or end-user for military, defense-related, or defense-adjacent applications.
The Customer guarantees that all goods supplied by MRTech will be used exclusively for civilian and non-defense applications and agrees to notify MRTech immediately in writing should any such use or end-use become foreseeable or possible.
10.2. The export of dual-use products purchased on the Website to countries outside the EU is subject to authorization. Shipping of these products without an official export license is not permitted.
